Terms of Service

These Terms of Service ("Terms") govern your access to and use of Amnis's website, desktop application, and related services (the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "Account" means the Amnis account you create (usually with your email).
  • "App" means the Amnis desktop application.
  • "Service" means the App, our website, and related services we provide.
  • "Content" means information you provide or generate while using the Service.
  • "Output" means transcriptions, text, or other results generated by the App from your audio.
  • "Subscription" means a recurring paid plan, if offered.
  • "Payment Processor" means Stripe. Stripe Japan is used for customers in Japan, and Stripe Hong Kong is used for customers in all other countries (including Hong Kong).
  • "Third-Party Services" means services provided by third parties that we use to operate parts of the Service (for example: authentication and billing).

2. Who we are

The Service is provided by different entities based on billing country: Senolytic Lab 合同会社 (セノリティックラブ合同会社) for customers in Japan, and YuniqueS Limited for customers in all other countries (including Hong Kong). Contact details are shown below.

Your billing country at the time of subscription determines which entity you are contracting with. If you believe the wrong entity is shown, contact us.

3. Eligibility

You must be at least 18 years old (or the age of majority where you live) and able to accept these Terms. If you use the Service for a company or organization, you represent that you have authority to bind that organization to these Terms.

4. Your account

  • Use accurate information and keep it up to date.
  • Keep your Account secure and do not share your login.
  • You are responsible for all activity under your Account.
  • Let us know promptly if you suspect unauthorized access.

5. License and ownership

Amnis is licensed to you, not sold. We (and our licensors) own the Service, including all software, designs, trademarks, and related intellectual property. Subject to these Terms (and your payment, if any), we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App for your internal or business use.

  • You may install and use the App on devices you own or control, subject to your plan's device limit.
  • You may not copy, modify, distribute, sell, rent, lease, sublicense, or transfer the App except as permitted by law.
  • You may not reverse engineer, decompile, or attempt to discover source code except where allowed by law.
  • You may not bypass license checks, device limits, or other security features.
  • You may not use our trademarks or branding without permission.

6. Privacy

Our Privacy Policy explains how we collect, use, and share personal information. By using the Service, you agree to the Privacy Policy.

7. On-device processing

Amnis is designed to process your audio on your device for core transcription. We do not need you to upload microphone audio to us to use the core on-device features. Some features require an internet connection (for example: sign-in, license checks, billing, and support). If you contact support, you may choose to share information or content with us.

8. Ownership of outputs

You own the Outputs generated by the App from your audio. We do not claim any rights to your transcriptions or other Outputs. You are responsible for reviewing and verifying Outputs before relying on them. We make no warranty as to the accuracy, completeness, or fitness for purpose of any Output. If you share content with us (for example, in a support request), you grant us a limited, non-exclusive license to use that content solely to provide support to you; we do not use it for any other purpose.

9. Plans and billing

Some parts of the Service require a paid plan. Prices, taxes, and payment terms are shown at checkout.

  • Payments are processed through Stripe Checkout. Stripe Japan is used for customers in Japan, and Stripe Hong Kong is used for customers in all other countries (including Hong Kong). Applicable taxes are calculated and shown at checkout.
  • If you buy a Subscription, it renews automatically until you cancel. For annual subscriptions, we will send a reminder before each renewal.
  • If we change pricing, the new price applies at the next renewal and will be shown to you before you are charged.
  • Cancellation is at least as easy as sign-up: you can cancel through your account billing settings or by contacting us.

10. Cancellations

  • You can cancel a Subscription at any time through your account billing settings (if available) or by contacting us.
  • When you cancel, your Subscription stops renewing at the end of the current billing period.
  • Canceling does not automatically refund past charges (see the Refund Policy).

11. Trial

If we offer a trial, the 14-day trial starts when you sign in. No card is required unless you choose to subscribe.

  • One trial per Account unless we say otherwise.
  • Trials may not be available in all countries or for all plans.
  • After the trial, you can subscribe or stay on Free (if available).

12. Refunds

Refund requests are handled under our Refund Policy by the applicable Amnis contracting entity based on your billing country. The Refund Policy explains refund windows and how to request a refund.

13. Device limit

One Account can be active on one device at a time unless your plan says otherwise.

  • You can move to a new computer by deactivating the old one.
  • Attempts to bypass device limits are a violation of these Terms.

14. Acceptable use

  • Follow all applicable laws, including privacy and intellectual property laws.
  • Do not use the Service to record or transcribe someone without permission where required by law.
  • Do not resell, rent, or share your Account.
  • Do not interfere with or disrupt the Service, or attempt to access systems without authorization.
  • Do not reverse engineer or bypass security.
  • Do not use Amnis for illegal activity or to generate malware or spam.

15. Third-party services and licenses

We use Third-Party Services to operate parts of the Service (for example: authentication, billing, and hosting). Your use of those services may be subject to their terms and privacy policies. Open-source software is used in Amnis; third-party notices and license texts are available at /licenses (Third-Party Licenses & Notices), are included with the desktop app, and are incorporated by reference.

  • Payments are processed by Stripe (Stripe Japan for customers in Japan; Stripe Hong Kong for all other customers, including Hong Kong).
  • Authentication is handled by Supabase.
  • Hosting providers may process technical data (such as IP address) when you use the website.
Third-Party Licenses & Notices

16. Feedback

If you send us feedback (for example: ideas, suggestions, or bug reports), you grant us a perpetual, worldwide, royalty-free license to use it without restriction or compensation.

17. Suspension and termination

We may suspend or terminate your access to the Service if you violate these Terms, if required by law, or to protect the Service and other users. You may stop using the Service at any time.

  • If your access is suspended or terminated, your right to use the Service ends except as required by law.
  • We are not responsible for any loss resulting from suspension or termination, to the extent permitted by law.
  • If we discontinue the Service with reasonable notice, we will refund any prepaid fees for the period after discontinuation.

18. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee that transcription or AI outputs will be accurate, complete, or suitable for your specific use case. You are responsible for reviewing and verifying outputs before relying on them. We are not liable for any decisions you make based on outputs from the Service.

19. Limits on liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid for the Service in the 12 months before the event giving rise to the claim. These limits do not apply to liability for our own fraud or willful misconduct, or to any liability that cannot be limited under applicable law.

20. Indemnity

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the applicable Amnis contracting entity and its directors, officers, employees, and contractors from claims, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or your violation of these Terms. This indemnity does not apply to our own negligence or breach.

21. Jurisdiction-specific consumer rights

Certain consumer protection laws give you rights that these Terms cannot limit or exclude. This section summarizes key protections by jurisdiction.

  • EU / EEA: under the Consumer Rights Directive and applicable national law, you have a 14-day right of withdrawal from a new subscription before it starts or, if the service begins immediately, you may forfeit the withdrawal right by expressly requesting immediate access and acknowledging this at checkout. If a withdrawal right applies and you exercise it, we will refund your payment within 14 days.
  • UK: under the Consumer Contracts Regulations 2013, you have a 14-day right of withdrawal, with the same digital content waiver as above. Under the Consumer Rights Act 2015, digital content (including subscription SaaS) must be of satisfactory quality, fit for purpose, and match its description. These statutory rights cannot be excluded.
  • Australia: under the Australian Consumer Law, the Service comes with consumer guarantees that cannot be excluded. If the Service fails to meet a consumer guarantee, you are entitled to a remedy (repair, replacement, or refund for major failures). Nothing in these Terms limits rights you have under the Australian Consumer Law.
  • Quebec, Canada: under the Consumer Protection Act (Loi sur la protection du consommateur), you have a 10-day right to cancel a distance contract (contrat à distance) including an online subscription. Auto-renewal terms are disclosed before purchase. You may exercise cancellation rights by contacting us.
  • Japan: under the Consumer Contract Act (消費者契約法), we cannot disclaim liability for our own intentional misconduct or gross negligence. Penalty clauses that unreasonably restrict consumer interests may be void. Under the Act on Specified Commercial Transactions (特定商取引法), we disclose required subscription information (price, billing frequency, cancellation method, auto-renewal terms) on the checkout page before purchase.
  • General: mandatory consumer protection laws in your jurisdiction apply regardless of the governing law stated in these Terms.

22. Governing law and venue

If your billing country is Japan, these Terms are governed by the laws of Japan and disputes will be brought exclusively in the Tokyo District Court as the court of first instance. For all other customers, these Terms are governed by the laws of Hong Kong and disputes will be brought exclusively in the courts of Hong Kong. Mandatory consumer protection laws in your jurisdiction apply in addition to the above and are not displaced by this choice of law.

23. Changes to these Terms

We may update these Terms. We will update the date above when we do. If changes materially affect your rights (for example, changes to pricing, subscription terms, or liability), we will provide reasonable advance notice before the changes take effect (for example, by posting a notice on our website or by email). Continued use of the Service after notice constitutes acceptance of the updated Terms.
